Overview
The Board
of
Trustees is the governing body of CMDA. It is the final policy
making body for all matters. The Board interprets and applies policies
of the organization and establishes guidelines for the Chief Executive
Officer and staff. It is responsible for the preparation of the annual
budget with the Executive Director, supervises financial officers, and
gives an accounting of the organization’s finances at the annual
meeting of the House of Representatives.

Composition
The Board is comprised of (1) the President/Chairperson of the Board,
(2) the President-elect/Vice President, (3) immediate Past-President for
one year after leaving office, (4) twelve Professional Member Trustees,
(5) up to three Associate Member Trustees, (6) the Chief Executive
Officer, (7) and one Student Trustee and (8) one Resident/Fellow Trustee
appointed by the Board.
Election Process
New trustees are nominated by a joint committee of the House of
Representatives and the Board of Trustees. They look at the service
record of potential nominees to CMDA, their leadership capabilities,
expertise, and Christian testimony. Their nominees then are approved by
both the House and the Board annually.

Regularly attends three board meetings per year at the
individual’s expense and important related meetings by phone

Makes serious commitment to participate actively in committee
work

Volunteers for and willingly accepts assignment and completes them
thoroughly and on time

Stays informed about committee matters, prepares themselves well
for meetings and reviews and comments on minutes and reports
Specific Duties
-
The power to buy and sell bonds, stocks, and debentures, and
generally to invest and re-invest the funds of The Society for the
benefit of The Society.

The power to satisfy all liabilities and to dispose of all assets
and property, real or otherwise, upon dissolution of The Society, in
adherence with the procedures and laws stated in Section 7 of the
Restated Articles of Incorporation of July 11, 2001.

Supervision of programs to increase the funds of The Society
through contributions, annuities, bequests, etc.

The appointment of a Certified Public Accountant as auditor,
receiving and considering the financial report and making a report of
the audit to the House of Representatives and the members.

The authorization of agents for this corporation, outside those
named in the Bylaws, to enter into contracts, or to execute and deliver
instruments on behalf of The Society, and the bonding of employees
handling funds of The Society.

Authorization of officers or staff members of The Society to sign
checks, drafts, notes or other orders for the payment of funds of The
Society.

The responsibility for fixing dates and places for various meetings
and conventions of The Society.

The provision for employees of The Society, their income and
welfare programs.

The appointment of legal counsel.
-
The preparation of all budgets and a report of the same to the
House of Representatives.

To evaluate the performance of the Executive Director and to
determine his/her compensation annually.

To grant and/or revoke charters of local chapters.
